船舶买卖合同

(a) 在本合同中, 除上下文另有要求外, 下列词语具有以下含义:

(a) In this Contract, unless the context otherwise requires, the following words and expressions shall have the following meanings:

(i) "船舶" 指第1栏中列明的船舶, 包括其船体、船机、设备及属具。

(i) "Vessel" means the vessel specified in Box 1, including its hull, machinery, equipment and fittings.

(ii) "所含物品" 指在交船时属于卖方所有并在船上的物品, 包括但不限于备件、供应品、工具、文件及第2栏中列明的其他物品, 但不包括除外物品。

(ii) "Included Items" means items owned by the Seller and on board the Vessel at the time of delivery, including but not limited to spare parts, supplies, tools, documents and other items specified in Box 2, but excluding Excluded Items.

(a) 根据本合同中的条款, 卖方据此同意卖出, 买方据此同意购买(i)船舶; (ii) 所含物品; 及 (iii) 燃油、油料及润滑脂。

(a) Subject to the terms of this contract, the seller hereby agrees to sell and the buyer hereby agrees to purchase (i) the vessel; (ii) the included items; and (iii) the bunkers, oils, and lubricants.

(b) 卖方在交船前无需更换任何在船上替换用的备件, 但已更换的物品应自动构成所含物品。

(b) The seller is not required to replace any spare parts on board before delivery, but any replaced items shall automatically constitute included items.

(c) 检验时在船上向第三方租用、租借或由第三方所有的、但未特别指定为除外物品的物品, 应在交船前由卖方自担风险及费用更换, 该类被更换的物品应自动构成所含物品。

(c) Items on board at the time of inspection that are leased, borrowed, or owned by a third party but not specifically designated as excluded items shall be replaced by the seller at their own risk and expense before delivery, and such replaced items shall automatically constitute included items.

(a) 本合同受第4栏中列明的条件约束 (如有时)。

(a) This Contract is subject to the conditions specified in Box 4 (if any).

(b) 若第4栏中列明的条件未在第5栏中列明的日期前得到满足 (或被放弃), 则本合同应自动终止, 且卖方应在3个银行工作日内无息退还买方已支付的任何款项。

(b) If the conditions specified in Box 4 are not satisfied (or waived) by the date specified in Box 5, this Contract shall automatically terminate, and the Seller shall refund any sums paid by the Buyer without interest within 3 banking days.

(a) 第9栏中列明的交易价格是船舶及所含物品的应付总额。

(a) The purchase price specified in Box 9 is the total amount payable for the vessel and the included items.

(b) 交易价格不包含燃油、油料及润滑脂的费用。买方应向卖方支付的燃油、油料及润滑脂的额外费用应根据第13条 (燃油、油料及润滑脂) 决定。

(b) The purchase price does not include the cost of bunkers, oils, and lubricants. The additional amount payable by the buyer to the seller for bunkers, oils, and lubricants shall be determined in accordance with clause 13 (Bunkers, Oils, and Lubricants).

(a) 买方应在本合同签署后3个银行工作日内, 向第10栏中列明的银行账户支付第11栏中列明的金额作为定金。

(a) The Buyer shall pay the amount specified in Box 11 as a deposit to the bank account specified in Box 10 within 3 banking days after the signing of this Contract.

(b) 定金应由银行以信托方式持有, 并根据本合同条款进行释放。

(b) The deposit shall be held in trust by the bank and released in accordance with the terms of this Contract.

(i) 在第8栏中列明的日期和地点完成船舶检验; 及 (ii) 检查船舶的船级社记录, 并已在检验后接受了该船舶, 且受本合同约定的约束。

(i) Conducted the Ship inspection at the date and place specified in Box 8; and(ii) Reviewed the Ship's class records and accepted the Ship following such inspection, thereby becoming bound by this Contract.

(b) 根据以下条款, 买方应有权检验船舶 (但不包括对船舶轮机、机器、设备或系统的调试) 并检查其船级社记录:

(b) Subject to the following terms, the Buyer shall have the right to inspect the Ship (excluding sea trials of the Ship's engines, machinery, equipment or systems) and review its class records:

(i) 卖方应在第8栏中列明的地点和日期/日期范围内备妥船舶以供检验。

(i) The Seller shall make the Ship available for inspection at the location and on the date/dates specified in Box 8.

(a) 在定金已汇入后, 买方有权最多派遣2名随船代表上船直至交船, 前提是买方应在其随船代表登船前, 向卖方提供买方及每一位买方指派的随船代表正式签署的、卖方保赔协会建议格式的保函 (原件或电子版) 。

(a) After remittance of the Deposit, the Buyer shall have the right to place up to two (2) representatives on board the Vessel until delivery, provided that the Buyer shall deliver to the Seller prior to boarding, a Letter of Undertaking in the form recommended by the Seller's P&I Club (original or electronic copy) duly executed by the Buyer and each representative.

(a) 交船前, 卖方应自费备妥船舶以供水下检验, 并安排一名船级社验船师参加。

(a) Prior to delivery, the Seller shall at its own expense prepare the Vessel for underwater inspection and arrange attendance by a classification society surveyor.

(b) 水下检验是对船舶最深载重线以下水下部分的检验:

(b) The underwater inspection shall cover the underwater parts below the Vessel's deepest load line:

(i) 水下检验应由买方指定并由船级社认证的潜水员执行; 并且

(i) The inspection shall be conducted by a Buyer-nominated diver certified by the classification society; and

(i) 卖方应承担修复缺陷的费用, 使船级社满意且无船级批注/建议项; 且

(i) the Sellers shall carry out such repairs as necessary to rectify such defects to the satisfaction of the classification society and without qualification/recommendation; and

(ii) 卖方应承担因船舶进出干坞而产生的费用, 包括干船坞和船级社的费用。

(ii) the Sellers shall bear the costs of putting the Vessel into and taking her out of drydock, including drydocking and classification society charges.

(i) 在干坞检验中, 若船级社要求检验尾轴系统:

(i) If the classification surveyor requires inspection of the tailshaft system during drydock survey:

(i) 卖方应安排抽出和重装尾轴;

(i) the Sellers shall arrange for the tailshaft to be drawn and re-installed;

(a) 卖方应在交船时使船舶处于以下状态:

(a) The Seller shall deliver the Vessel in the following condition:

(i) 与买方检验时的状况实质上相同, 自然损耗除外;

(i) In substantially the same condition as when inspected by the Buyer, fair wear and tear excepted;

(ii) 所有船舶证书有效且无批注;

(ii) With all vessel certificates valid and unendorsed;

(a) 当船舶准备就绪并符合交船条件时, 卖方应向买方发出准备就绪通知书。

(a) When the Vessel is ready and in a deliverable condition, the Seller shall give notice to the Buyer of its readiness.

(b) 准备就绪通知书应采用书面形式(包括电子邮件), 并应指明交船的地点和预计日期。

(b) The notice of readiness shall be in writing (including email) and shall specify the place and expected date of delivery.

(a) 若船舶未能在第12栏中列明的日期前准备就绪交船, 买方有权在该日期后7天内通知卖方解除本合同。

(a) If the Vessel is not ready for delivery by the date specified in Box 12, the Buyer shall have the right to terminate this Contract by giving notice to the Seller within 7 days after that date.

(a) 买方应按交船时船上实际存量和第13栏中列明的价格向卖方支付燃油、油料及润滑脂的费用。

(a) The Buyer shall pay the Seller for the fuel oil, diesel oil and lubricating grease on board at the time of delivery at the price specified in Box 13 based on the actual quantity.

(a) 以下内容应在交船时履行, 最晚不迟于根据第11条 (交船通知) 递交准备就绪通知书后的 3(ii) 定金产生的任何利息应放款至买方; 且(iii) 交易价格的余款、燃油、油料及润滑脂的应付款项及交船时的其他任何应付款项, 应支付到卖方账户。

(a) The following shall be completed upon delivery, and in any event no later than 3 banking days after the Notice of Readiness is tendered under Clause 11 (Notice of Delivery): (ii) Any interest accrued on the deposit shall be released to the Buyer; and (iii) The balance of the Purchase Price, amounts payable for fuel oil, diesel oil and lubricating grease, and any other amounts due upon delivery shall be paid to the Seller's account.

(a) 卖方应在交船时向买方提供下列文件:

(a) The Seller shall deliver the following documents to the Buyer at the time of delivery:

(i) 船舶所有权转让文件;

(i) Document of transfer of ownership of the Vessel;

(ii) 船舶无抵押证明;

(ii) Certificate of non-encumbrance of the Vessel;

(a) 在卖方递交准备就绪通知书后, 合同当事方代表应根据第19栏列明的方式以电子远程或当面进行文件交接。

(a) Following the Seller's service of the Notice of Readiness, representatives of the Contracting Parties shall conduct document exchange either electronically/remotely or in person as specified in Box 19.

(b) 交船时, 一旦买方根据本合同支付交易价格和所有其他款项, 卖方应向买方:

(b) Upon delivery of the Vessel, provided the Buyer has paid the Purchase Price and all other sums payable under this Contract, the Seller shall deliver to the Buyer:

(a) 卖方应在交船后尽合理努力协助买方办理船舶登记和其他必要手续。

(a) The Seller shall use reasonable efforts to assist the Buyer in completing the vessel registration and other necessary formalities after delivery.

(a) 若买方未能按照本合同规定支付任何款项, 卖方有权在发出书面通知后7天内解除本合同。

(a) If the Buyer fails to pay any amount due under this Contract, the Seller shall have the right to terminate this Contract within 7 days after giving written notice.

(a) 若卖方未能在第12栏中列明的截止日期前交船, 买方有权解除本合同。

(a) If the Seller fails to deliver the Vessel by the deadline specified in Box 12, the Buyer shall have the right to terminate this Contract.

(a) 若船舶在交船前发生全损, 本合同应自动终止, 卖方应立即退还买方已支付的所有款项。

(a) If the Vessel suffers a total loss before delivery, this Contract shall automatically terminate, and the Seller shall immediately refund all sums paid by the Buyer.

(a) 双方保证遵守适用的国际制裁法律和法规。

(a) Both Parties warrant that they will comply with applicable international sanctions laws and regulations.

(a) 双方承诺不向任何政府官员或第三方支付贿赂或回扣以促成本合同的履行。

(a) Both Parties undertake not to pay bribes or kickbacks to any government official or third party to facilitate the performance of this Contract.

(a) 双方应对本合同内容及因履行本合同而知悉的对方商业秘密严格保密。

(a) Both Parties shall strictly keep confidential the contents of this Contract and the other party's trade secrets known in the performance of this Contract.

(a) 本合同项下的所有通知和通讯应以书面形式作出, 并通过专人递送、挂号信或电子邮件发送至第20和21栏中列明的地址。

(a) All notices and communications under this Contract shall be in writing and delivered by hand, registered mail or email to the addresses specified in Boxes 20 and 21.
